2. Services
Sapient365 provides Odoo ERP implementation, customization, integration, migration, upgradation, training, support, Power BI dashboards, web development, bookkeeping, and related technology services ("Services").
The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written agreement, proposal, or statement of work ("Agreement") between Sapient365 and the client. In the event of any conflict, the Agreement takes precedence over these Terms.
3. Enquiries and Proposals
Submitting a contact form or booking a demo does not constitute a binding contract. It is an expression of interest only. A formal engagement begins only upon execution of a written Agreement signed by both parties.
All proposals, quotes, and estimates provided by Sapient365 are valid for 30 days from the date of issue unless otherwise stated, and are subject to change based on final scope confirmation.
4. Intellectual Property
All content on this website — including text, images, logos, graphics, layout, and code — is the property of Sapient365 or its licensors and is protected by applicable intellectual property laws.
You may not:
- Copy, reproduce, or republish website content without written permission
- Use Sapient365 branding, logos, or trademarks without authorisation
- Reverse engineer or copy the design or code of this website
Custom modules, code, and deliverables developed for a client project are governed by the intellectual property terms in the relevant Agreement.
5. Confidentiality
Any business information, technical details, or project data shared by either party during an engagement will be treated as confidential. Sapient365 will not disclose client information to third parties without consent, except as required by law or as necessary to deliver the agreed services.
6. Payment Terms
Payment terms, milestones, and methods are defined in the applicable Agreement. General principles include:
- Invoices are due within the period specified in the Agreement (typically 7–14 days)
- Late payments may attract interest charges as specified in the Agreement
- Sapient365 reserves the right to pause or suspend work on accounts with overdue payments
- All fees are exclusive of applicable taxes unless stated otherwise
7. Limitation of Liability
To the maximum extent permitted by applicable law, Sapient365 shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of profit, revenue, data, or business opportunity
- Damages arising from third-party software, services, or integrations
- Interruptions to service caused by events outside our reasonable control
Our total liability in connection with any single engagement shall not exceed the total fees paid by the client for that engagement in the 12 months preceding the claim.
8. Warranties and Disclaimers
The information on this website is provided "as is" for general informational purposes. While we strive for accuracy, we make no warranties — express or implied — regarding completeness, accuracy, or fitness for a particular purpose.
Sapient365 does not guarantee specific business outcomes from the use of any technology or system we implement. Results depend on your business processes, team adoption, and data quality.
9. Third-Party Services
Our services may involve or recommend third-party software, platforms, or tools (including Odoo, Microsoft Power BI, payment gateways, and cloud providers). Sapient365 is not responsible for the availability, pricing, terms, or performance of third-party products and services.
10. Force Majeure
Neither party shall be held liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, power outages, internet failures, pandemics, or civil unrest.
11. Termination
Either party may terminate an engagement in accordance with the termination provisions in the applicable Agreement. Sapient365 reserves the right to terminate or suspend access to its website or services for users who violate these Terms.
12. Governing Law
These Terms are governed by the laws of Pakistan. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan, unless otherwise agreed in writing.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect any changes. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
